referred to as the "Authors/Founders" of the Trust.

Now this deed of Trust witnesseth as under.

The founders of the Trust do hereby constitute and establish a Public Charitable Trust for the purpose and objective set-out hereunder and contribute Rs.1001/- (Rupees One thousand and one only) each and entrust to the Board of Trustees constituted hereunder in all a sum of Rs11,001/- (Rupees Eleven thousand and eleven only)which amount and all other amounts, assets and income that may be received by the Trust Board shall be held in Trust solely for the objective set-out hereunder.

NAME :

The name of the Trust shall be "GURUVAYUR POSTAL EKADASI VILAKKU TRUST".

The following terms used in this Deed shall be deemed to mean:

i) Trust shall mean "Guruvayur Postal Ekadasi Vilakku Trust"

ii) The Board/Board of Trustees shall mean the Board of Trustees of the said Trust.

iii) Member shall mean a member of Guruvayur Postal Ekadasi Vilakku Trust.

2. Registered Office :

The Registered Office of the Trust shall be at Guruvayur.

3. Aims and Objectives of the Trust :

a) To conduct and Postal Ekadasi Vilakku every year at Guruvayur Temple on the day allotted by the Guruvayur Devaswom Authorities.

b) For the smooth conduct of the Ekadasi Vilakku a Celebration Committee with Sub Committees may be formed each to function under the direct supervision of the Trust

c) To encourage and promote temple arts like "PANCHAVADYA" "CHENDAMELAM" (Drum) etc and ancient performing arts like "KATHAKALI" "KRISHNANATTAM" "KOODIYATTAM" etc

d) To render possible help to members of the Trust for the stay and worship at Guruvayur Temple.

e) To construct residential accommodation for facilitating comfortable stay of members at reasonable rates.

f) To render assistance to members to get medical aid in emergent cases when they visit Guruvayur.

g) Render assistance to the poor and the disabled people.

h) To undertake other cultural, spiritual and charitable activities which are deemed fit by the Trust Board.

4. Membership:

a) Membership of the Trust shall be limited to the serving and retired employees of the Department of Posts, Government of India and members of their family

b) Those who contribute a sum of Rs.1001/- (Rupees One thousand and one only) in lump to the Trust may be considered for Life Membership of the Trust with the approval of the Trust Board.

c) Those who contribute a sum of Rs.1001/- (Rupees One thousand and one only) in not exceeding four instalments may also be considered for Life Membership on completion of all the instalments with the approval of the Trust Board.

d) Members as per Clause 4(a), (b) and (c) shall constitute the General Body of the Trust.

e) Amount contributed towards life membership shall not be refunded under any circumstances.

5. General Body Meeting of the Trust shall be held at least once in a year.

6. a) 11 (Eleven) Members elected from the General Body shall constitute and be known as "Trust Board" . This Board will be the Administrative (Governing) Body of the Trust. The Period of office of the Trust Board will be 3 (Three) years.

b) The elected Trust Board shall have the right to co-opt members in place of vacancies arising our of death or unforeseen circumstances.

c) The Trust Board shall have the option additional members to the Board not exceeding 4 (four) in number to the Trust when considered necessary for the smooth working of the Trust. Such co-opted members will not have voting right in the Trust Board.

d) Quorum for Trust Board meetings shall be 7 (Seven) excluding co-opted additional members.

e) A member of the Trust Board who fails to attend four consecutive meetings of the Board shall cease to be the Member of the Board.

7. Members of the Trust Board will elect from among themselves Chairman, Vice-Chairman, Secretary, Assistant Secretary and Treasurer.

8. Duties and responsibilities of the Office-Bearers of the Trust Board shall be as laid down below:

a) Chairman : He will preside over the General Body and Trust Board meetings. He will function together with the Secretary and Treasurer for all the financial transactions and legal aspects of the Trust. He will oversee and guide the activities of the Trust.

b) Vice-Chairman : He will perform all the functions of the President, except financial transactions, during the absence of the President

c) Secretary : He will keep all the records of the Trust, issue notice for Board meetings and General Body Meetings and prepare minutes of such meetings. He will receive necessary amounts from the Treasurer required for the functioning of the Trust. He will work together with President and Treasurer for all aspects of the Trust. He will implement the decisions of the Trust Board

d) Assistant Secretary : He will perform the duties of the Secretary in his absence as per the directions of the Board. He will assist the Secretary in all official dealings of the Trust.

e) Treasurer : He will receive money , issue proper receipts, keep all the accounts records and documents regarding financial transactions of the Trust. He will transact the financial dealings of the Trust with the Bank, Post Office etc alongwith the Secretary and the Chairman.

9. Election of Trust Members, passing of annual financial accounts passing of Budget for the next financial year, etc. will be carried out in the General Body Meeting which shall be convened issuing notice 30 days before the date of meeting

10. Trust Board can change the office bearers of the Board as per the majority decision of the Board members.

11. Quorum of the General Body meeting will be 5% of the membership.

12. Emergency General Body meeting may be convened by issuing fifteen days notice as per the decision of the Trust Board or as per the written demand signed by not less than 30% of the membership of the Trust. All the items on the Agenda may be discussed and decided in such meeting. Quorum for such meetings will be the same as for Annual General Body,

13. Trust Board may enact Supplementary Rules, which are basically not against or not in conflict with the basic aims and objectives of the Trust for the smooth functioning of the Trust. But such Supplementary Rules shall be got approved by the next General Body.

14. All transactions relating to properties of the Trust shall be executed by the Chairman, Secretary and Treasurer together on behalf of the Trust as per the decision of the General Body. All the financial dealings of the Trust shall also be carried in the name of the above 3 office bearers.

15. Appeal can be moved by a Member in the General Body against decisions of the Trust Board giving notice of 15 days.

16. Trust Board meeting may be convened at least once in 3 months on dates duly notified in advance and decisions may be taken as per the majority of the members present.

17. Capital: Initial capital of the Trust is Rs. 11,011/- (Rupees Eleven thousand and eleven only).

18 a) The Trust board shall invest prudently all the money received by way of Life Membership/ donations in such a way as to generate income required to fulfill the aims and objectives of the Trust. The investment decisions taken by the Trust shall be placed before the Annual General Body for information and approval.

b) The Trust Board shall see that the money received as Life Membership is maintained as the permanent fund and that the recurring expenditure is met from the income generated by investing the permanent fund and from the donations, grant etc that may be received from time to time.

c) The Trust Board shall be competent to issue appeal for donations to meet the expenditure required for fulfilling the aims and objective of the Trust.

d) A Life Member, if he/she so desires may nominate a successor to his membership but such successor shall not have the right to nominate his/her successor.

e) Life Membership or any other contribution remaining in the name of deceased members or their nominees shall vest with the Trust and no claim for such amounts shall be entertained from any quarters

f) In the event of the Trust having to be dissolved, the net assets of the Trust shall be vested with Guruvayur Devaswom as an endowment for spiritual cultural and charitable activities or with Govt. of Kerala.

19. If a meeting of the Trust Board or General Body is convened to initiate action against any member for any allegation, such member shall not preside over such meeting and that member shall have no power of voting.

20 If the Trust Board feels that any member has conducted himself / herself against or in contravention of aims and objectives of the Trust, membership of such member may be cancelled by the decision of the Ordinary or Emergency General Body Meeting.

21. A member whose membership in the Trust is cancelled as per Clause 20, will have no claim whatsoever on his contributions to the Trust.

22. Two members nominated by the General Body shall audit the accounts of the Trust annually and submit a report.

23. The constitution of the Trust may be amended by two-thirds majority of members present in a General Body if the General Body is convened with specific Agenda for amendments.

24. The legal jurisdiction of the Trust shall be limited to Thrissur Revenue District (Kerala).

In witness whereof the Founders have executed this deed at Guruvayur on the day, month and year first above mentioned put their signature in the presence of the following witnesses and wish to get it registered at the Sub Registry Office Kottappady.
